TERMS AND CONDITIONS OF SERVICE South Plains Irrigation, Inc. Effective Date: October 1, 2026 These Terms and Conditions ("Agreement") govern the center pivot and drip irrigation installation, maintenance, and repair services provided by South Plains Irrigation, Inc. ("Company") to the property owner or authorized representative ("Client"). By requesting, scheduling, or accepting services from the Company, the Client agrees to be bound by these terms. 1. Description of Services South Plains Irrigation, Inc. provides professional installation, retrofitting, emergency repair, and seasonal maintenance services for center pivot and drip irrigation systems. The specific scope of work, estimated timelines, and hardware specifications will be detailed in individual project quotes or work orders provided to the Client. 2. Property Access and Site Conditions The Client grants South Plains Irrigation, Inc. and its technicians full, unrestricted access to the subject physical property, fields, and water sources required to execute the services. The Client certifies that they own the property or have secured all necessary legal permissions for the Company to enter and operate machinery on the land. The Client must clearly identify and mark any underground hazards, private utilities, or obstacles not documented by public utility locating services before excavation or installation begins. The Company is not responsible for damage to unmarked private lines. 3. Monthly Billing and Payment Terms Services, ongoing maintenance plans, and financed hardware packages are billed on a monthly recurring basis. Invoices are issued on the 1st of each calendar month and are due within fifteen (15) days of the invoice date. Late payments will incur a finance charge of 1.5% per month on any outstanding balance. South Plains Irrigation, Inc. reserves the right to suspend all active field operations, installations, or emergency service calls if an account remains unpaid past thirty (30) days. 4. Client Dependencies and Preparedness Timely delivery of installation milestones relies on the Client ensuring that water sources, electrical hookups, and primary power supplies match the agreed technical specifications before the Company's arrival. Delays caused by a failure to provide adequate utilities, clear fields, or structural access may result in project postponement fees and additional labor charges.5. Warranties and Limitation of Liability The Company warrants its installation workmanship for a period of one (1) year from project completion. Manufacturer warranties for hardware, center pivot structures, and drip line products pass directly to the Client. South Plains Irrigation, Inc. is not liable for crop loss, yield reductions, soil erosion, water supply failures, or consequential damages stemming from system downtime, structural hardware defects, or delayed repairs beyond its immediate operational control. 6. Governing Law This Agreement and all operational disputes arising from it shall be governed by, construed, and enforced in accordance with the laws of the State of Texas, without regard to conflict of law principles.
